DESCRIPTION OF SERVICES


NOTE: FOR EASE OF REFERENCE, THE NUMBERS BELOW RELATE TO THE CORRESPONDING SECTIONS WITHIN OUR PUBLISHING ORDER INQUIRY FORM.  Files are reviewed in advance of service to provide pricing information for payment when possible.

2A.     Photo Adjustments: This service is for any change to a photograph that does not change the fixed impression or composition of the captured photograph including tuning of color, brightness, contrast, color enhancements, and converting color formats. Pricing: $6 per photo.

2B.     Photo Resizing: This service is for any change in photograph resizing, including basic photo cropping, that increases or decreases the physical print size of the photograph or changes the photo's image resolution or digital display size. Pricing: $8 per photo.

2C.     Photo Editing: This service is for any change to the photograph that alters any part of the photo's fixed image composition including touch ups and removing or changing any unwanted element within the photo's overall composition. Pricing: $12 per photo.

2D.     Photo Manipulation: This service is for any major change in the composition of the photograph characterized by substantial editing, removing or extracting parts of the image composition, adding new images or elements to the image composition (other than text overlays), or the addition or removal of a distorting characteristic. Pricing: $16 per photo.

3.0     Design Assistance: Formally trained in both creative and functional design considerations, this consulting service is for any design-related personal or business need. This service is for any consultation to assist you with determining what graphic design services might be needed, to obtain a opinion on already available design options, or potential revision or modifications to already existing graphic design. Pricing: $50 project consult.

4.0     Graphic Design: This service is for graphic design, primarily, to create cover art for a book that you desire to have published.  While our primary focus is on cover art for E-books, depending on your needs, we may be able to provide graphic design assistance for cover art of conventional print books, infographics to accompany your written texts, advertising materials, promotional materials, or other graphics items that you may need. Pricing: E-book cover art (front $200), E-book cover art (front & back $325), Print covers and other graphics (project specific, please inquire).

5.0     Infographics: This service is for the creation of infographics that are intended to convey information, data, or statistics in the form of a graphic.   Infographics may be entirely informational or may incorporate artistic and design-related elements to capture reader interest.  Pricing: Project specific with a $25 minimum charge per infographic.

6.0     Editing & Proofing (limited services): This service is primarily for copy editing of written texts to ensure that they are grammatically correct, with appropriate word choices, proper sentence structures, and punctuation.  While spell check functions within word processing software can detect most issues, it does not always identify all issues where a word was used and spelled correctly, but a different word is more suitable or appropriate.  Although overall writing structure, such as organization and redundancy may be addressed, the depth of those particular aspects of this service are limited due to what may be achieved without multiple corrective revisions by the writer. Addresses and personal names are not edited. While we are able to provide superior copy-editing services, this service is not provided with any guarantee of 100% accuracy.  For those seeking a heightened degree of accuracy, Tier 3 and Tier 6 services are recommended. 

There are six tier levels of service.  Tiers 1-3 are for regular subject matter texts and Tiers 4-6 are for advanced subject matter texts (legal, technical, graduate, and executive level subject matters or otherwise evaluated as advanced in our sole discretion).  Pricing is subject matter and text length dependent and computed as follows:  
          Tier 1: First pass review and revision of regular subject matter texts for: spelling, punctuation, word choice, and grammar (simple word position switches are included, but rearranging sentence structures is excluded). Pricing: $0.06 per word.
          Tier 2 (includes Tier 1): Second pass review and revision of regular subject matter texts for: tone, simplification of sentence structures as may be needed, limited rearranging of sentences for active/passive voice, and comments (organization, glaring redundancy issues, relocation of ideas for best theme development, or other observed issues). Pricing: $0.12 per word.
          Tier 3 (includes Tiers 1-2): Third and final review recommended for regular subject matter texts. Pricing: $0.15 per word.
          Tier 4: First pass review and revision of advanced subject matter texts for: spelling, punctuation, word choice, and grammar (simple word position switches are included, but rearranging sentence structures is excluded). Pricing: $0.12 per word.
          Tier 5 (includes Tier 4): Second pass review and revision of advanced subject matter texts for: tone, simplification of sentence structures as may be needed, limited rearranging of sentences for active/passive voice, and comments (organization, glaring redundancy issues, relocation of ideas for best theme development, or other observed issues). Pricing: $0.24 per word.
          Tier 6 (includes Tiers 4-5): Third and final review recommended for advance subject matter texts. Pricing: $0.30 per word.

7.0     Technical or Advanced Writing Assistance: This service is for assistance with technical writing that is typically related to technical subjects, technical deliveries (for example, systematic process explanations), or writing ideas and concepts that may be difficult or complicated to convey in written form such as graduate and executive business level subject matter texts.  Pricing: $100 per hour.  Minimum charges may apply.

8.0     Word Processing Document Formatting: This service is for word processing document formatting (MS Word formats only). It may include implementing desired stylistic formatting, removing or troubleshooting specific formatting problems at a specific location, or ensuring consistent and uniform formatting across all sections of a document. Copy-editing is not included.
          Pricing: $25 per unit. A unit is up to three document sections with up to four unique formatting styles within each section. Each portion of a document delineated by a page or section break counts as one section and unique formatting matters, such as tables or other similar items, count as their own separate section. Sections utilizing more than four formatting styles will count as multiple sections. 

9.0     Presentation & Layout Assistance:  This service is for assistance with presentation or layout matters.  Although graphics may be involved, it is differentiated from graphics design, typically, through the assemblage and integration of multiple texts, photos, and graphics to achieve an end desired objective or overall composition in presentation. Refer to Item #8 for situations where graphics or photos are not involved. Pricing: Dependent upon the number and complexity of the elements to be integrated. Minimum charges may apply.

DESCRIPTION OF SERVICES

2.0     Business Development Concepts (BDCs): This multi-layered service is for the development of various concepts briefly described on our Business Development Proposals webpage.  Various options are presented for the work-up of these concepts into proposals.  While our Business Development Proposals webpage contains a few BDCs worked up as formal proposals, the underlying concept has not been fully disclosed due to proprietary trade secret and intellectual property concerns.  Pricing: BDCs utilize a fee structure that depends on factors such as broad application or specific end use, industry and market segment, and whether the BDC is classified as "value added" (plans that, if fully developed and implemented, have high impact potential or significant or limitless revenue generating or cost-savings potential). BDCs having greater "value added" potential will cost substantially more for their work-up. Cost may be dependent upon whether profit-sharing will be considered by the engaging customer. Finally, BDCs classified as "proprietary processes" will be most costly when they are also "value added" BDCs since their proprietary nature cannot be made unknown once they have been disclosed.

3.0     Research: Formally trained in research methodologies and having utilized a variety of information sources to conduct various types of research, this service is for consulting-based research services on nearly any topic with research results prepared in written form for your use. Research that requires the use of paid or subscription-based information resources is excluded if access to those information resources cannot be provided.  Pricing: $75 per hour. Minimum charges may apply.

4.0     General Business Guidance: Whether you need guidance in business planning or assistance with selecting the correct type of structure for operating your business, this consulting service is for any general business matters or problems that you may be facing.  Pricing: $100 per hour. Minimum charges may apply.

5.0     Logo & Trademark Development: Whether you simply desire a basic logo or have a specific logo that you want to create to represent your business or brand, this consulting service is for logo development for your envisioned business or personal brand.  Pricing: Pricing: $100 per hour with $300 minimum fee.

6.0     Slogan Development: Perhaps you need a catch phrase or slogan that will embody your brand’s values or assist with product or service recognition within your industry or targeted market. This consulting service is for slogan development for your envisioned business or personal brand.  Pricing: $100 flat fee.

7.0     Services Critiques: Whether attempting a quality check on a particular employee or the general state of service that your business is providing during your absence, this consulting service is for a time arranged or random customer service interface with a written assessment (both good and not so good aspects) for your review and internal use.   Pricing: $100 per hour with a $100 minimum charge, excluding travel or other expenses.

8.0     Product Evaluation & Testing: We know that delivering your best product is one of your primary business concerns. This consulting service is for a specific or random product testing evaluation with a written objective assessment (both good and not so good aspects) for your review and internal use, inclusive of software product testing if desired.  Pricing: $100 per hour with a $100 minimum charge, excluding travel or other expenses.

9.0     Needs-Based Audits: Limited scope non-accounting audits can be a quality control measure to ensure consistency in the delivery of your products and services, troubleshoot a specific problem, or be the foundational review for operations optimization or the creation of Standard Operating Procedures (S.O.P.) instructional manuals. Whatever your “need” may be, we can likely develop a needs-based audit to assist with your business concern.  Pricing: All time for development and conducting audits are assessed at $100 per hour with a $100 minimum charge, excluding travel or other expenses.

10.0     Written Product Reviews: Similar to Service Critiques (#7) and Product Evaluations (#8), this consulting service is for a written review of your product or service, but with an intended external end use for advertising or promotional purposes. Product reviews are distinguishable from the above services as they are a potential sales generating marketing tools highlighting favorable aspects rather than purely objective evaluations.  Pricing: $100 per hour with a $200 minimum charge, excluding travel or other expenses.

11.0     Content Creation: Customer engagement in one of many marketing tools that develop customer interest and aid in closing sales. Depending on your business or trade and whether unique or specialized trade knowledge is involved, we may be able to provide consulting services for content creation of short written passages to assist you with overall customer engagement and sales goals.  Pricing: $100 per hour with a $200 minimum charge with any materials review needed to acquire subject matter familiarity also billed hourly.

12.0     AdPromo Design: This consulting service is for the creation of advertising or promotional materials according to your desired parameters. It might include business cards, promotional cards, brochures, menus, flyers, tri-fold mailers, social media, or other items of standard sizes. Printing is not included, but might be arranged.  Pricing: $50 per hour with a $100 minimum charge.

13.0     Product Development Guidance: Analyzing products or business operations to identify new product or service line offerings can be a challenging undertaking. Our consulting services may be able to assist with your product or service development needs. If you visit our business development proposals page, you will see our intended focus is on new or emerging business lines where the greatest profit potentials or new investment opportunities may exist.  Pricing: $100 per hour. Minimum charges may apply and our BDCs are excluded.

14.0     Product Pricing: Product pricing involves more than evaluating the cost of goods and labor, which serve as the threshold inquiries for product pricing strategies. Depending on your business or trade, our consulting services may be able to assist you with product pricing and price point optimization.  Pricing: $100 per hour with a $100 minimum charge.

15.0     Website Creation & Publishing: In addition to being an invaluable marketing tool, a business website lends credibility to a business’ operations. Whether you intend to supply all texts and images, or additionally need assistance with content development, our consulting services can assist with basic website creation to provide an online presence for your new business concept or newly founded brick and mortar start up.  Pricing: $50 per hour with a $2500 minimum charge, excluding any web and domain registration related fees.  These fees contemplate client supplied content.  if content creation is required, those charges are separately billed (see #11).

16.0     Operations Standardization: Operations standardization involves standardizing the way that a job, project, or task is accomplished to bring uniformity in its execution or, in the case of S.O.P.s, document those involved procedures so that they can be used or referenced by others. Our consulting services can assist with your business operations standardization needs.  Pricing: $200 per hour, excluding travel and other expenses. Minimum charges may apply.

17.0     Process & Efficiency Evaluations: While related to Operations Standardization (#16), process and efficiency evaluations are aimed at critiquing operations for improvements in function, time management, and conservation of costs rather than creating or documenting a business operation or standard. For the business owner that is overwhelmed or disorganized due to business demands, rapid growth, or other causes, our efficiency-related consulting services will likely pay for itself through quantifiable monetary savings or other intangible benefits such as organization and stress reduction.  Pricing: $200 per hour, excluding travel and other expenses. 

18.0     Business Document Templates: As one subtype of Operations Standardization (#16), business document templates and business forms are at the converging epicenter of standardization, efficiency, and cost control optimization. Rather than repeatedly reinventing the wheel at exceptional expense, we can assist with creating templates that will save you countless hours over the long-term operation of your business. Our own Order Inquiry Forms are an example. Pricing: $200 per hour with a $400 minimum charge.

19.0     Claim Review (closed-ended): Closed-ended claim review involves the review of a claim that is based on a fixed set of criteria or information. Our consulting services can assist with your claim review needs for non-litigated matters or litigated matters where claim review is otherwise closed-ended; where review is limited to the sufficiency of pleadings for example.   Pricing: $100 per hour with option for bulk hourly advance purchase at a discount.

20.0     Claim Review (open-ended): Open-ended claim review involves the review of a claim that is not based on a fixed set of criteria or information, such as those involved in active litigation and subject to changing circumstances or supporting information. While litigation is beyond the scope of the services we are able to provide, our consulting services may be useful to your own attorney-led litigation strategies or settlement considerations.  Pricing: $100 per hour with option for bulk hourly advance purchase at a discount.

Terms of Service and Use

General Terms of Service and Use

1.     PARTIES

As used within these Terms of Service and Use, “we,” “us,” “our,” and “ours” shall refer to SEE Publishing, SeePublishing.com, SEE Consulting (if applicable), and Cameron Mostaghim, collectively. “We” and “us” shall additionally include any persons, currently or in the future, employed by us and acting on our behalf and within the course and scope of their employment or agency. 

As used within these Terms of Service and Use, “you” and “yours” shall refer to you, your business(es), your employee(s), your agent(s), your affiliate(s), your successor(s), your assign(s), and anyone claiming through or by way of you, whether such person is natural or otherwise, and that in any way accessed or used any of the information presented by us in any form, including our publication(s), our website(s), and our communication(s) or engaged us to provide services to you.

2.     PERMISSIBLE USES

You understand, expressly agree, and represent that you will not use our website, any presented information, or our services for any unlawful or illegal purposes, including the infringement of any intellectual property rights that may be owned by others.

By submitting any photos for alteration, modification, or integration within any project, you represent that you have all legal ownership or licensing rights required to use those photos and engage the requested services. By submitting any texts, writings, or documents to us for revision or integration within a project, you represent that you are the author of those texts and writings or that you have all legal ownership or licensing rights required to use those texts, writings, and files and engage the requested services. Any dispute concerning the use of any photos, texts, or files that you have provided are subject to the Indemnification provisions included below.

3.     DISCLAIMERS

3A.     General
You understand and expressly agree that any information presented by us, whether through communications, through our publications, by accessing and using our website, or in communications with us, is for informational purposes only without a contract for services. Any information presented by us is presented “AS IS” and without any warranties of any kind, whether express, implied, or otherwise. Notwithstanding, we will undertake reasonable efforts to ensure that, to the best of our knowledge, any information presented by us is accurate.

YOU UNDERSTAND AND EXPRESSLY AGREE THAT ANY INFORMATION PRESENTED BY US AND USED BY YOU IS AT YOUR OWN SOLE AND EXCLUSIVE RISK. WE DISCLAIM ANY AND ALL LIABILITY TO THE FULLEST EXTENT ALLOWED BY LAW FOR YOUR USE OF ANY INFORMATION PRESENTED BY US, WHETHER YOUR CLAIMS OR THEORIES OF LIABILITY ARISE IN CONTRACT, TORT, BY STATUTE, OR IN EQUITY UNLESS YOU HAVE CONTRACTED FOR SERVICES TO BE PERFORMED BY US. In that case, the contract and these Terms of Service and Use shall be controlling as to any alleged breach of a contractual obligation.

3B.     Registered Investment Advisors
You understand and expressly agree that we are not registered investment advisors and we are not engaged in the offering or sales of any securities. Although we may present information related to the topic of business ventures and investments, and may attempt to facilitate and coordinate the implementation of various ideas and concepts that form the basis of those business or investment proposals, you agree to conduct your own due diligence and consult with an attorney of your own choosing before unilaterally relying or acting upon any information that may have been be presented by us.

3C.     Consulting Services
As to any consulting services that may be engaged, although we will do our best to deliver a premium consulting experience, there are aspects of certain consulting services that are uncertain.  For example, the success of certain operations and efficiency consultations are dependent upon already existing systems and procedural protocols that may or may not already be in place.  These services along with certain others involve variables that make the predictability of outcomes on the engaged services less than certain.  Although we will do our best to provide options and deliver services to meet your expectations, you understand and agree that the outcomes may not be capable of certainty due to these variables and, in some circumstances, the client's individual subjective tastes or preferences in design.

3D.     Business Development Concepts (BDCs) and Proposals
Business ventures have the potential for a significant return on any committed financial resources as well as a potential risk of substantial loss that may include failure of the business venture objectives and a corresponding complete loss of financial resources that may be expended or committed to a business venture. As with any business endeavor, there are often a variety of unknown variable or unanticipated events and circumstances that may arise.

The purchase of one of our business development concepts or proposals is not immune from these stated risks and may include the possibility of incompatibility of integration, where software or IT systems are involved, and the possibility that that the proposed business development concept being engaged may have already been considered and/or rejected by the corporate executive management of the company that is engaging those services. While it is believed that these risks may be minimized by concurrently engaging our consulting services to implement and execute any given business development proposal, and further minimized through equity share or profit sharing opportunities, we disclaim any and all guarantees and cannot make any assurances concerning any proposed business concept that is engaged for full development, regardless of whether consulting services or profit-sharing opportunities are part of the negotiated and contracted services. 

3E.     Disclaimer Concerning Goods

With respect to any publishing or consulting services that may be engaged, you understand and agree that we are providing services and not selling goods. While certain services may involve, as part of their end delivery, the transfer of digital media in text of photo form, you understand and agree that transfer of such media is incidental to the services being performed as based upon the unique individualized basis of the performed services and the absence of availability of any end resulting media without the performed services. While certain items, particularly the business development concepts (BDCs), may include a formally prepared document as part of the engaged services, you understand and agree that - while the information may be conveyed in a purely verbal form (and such may be accommodated where specifically requested) - any prepared document is provided for your convenience of use, assessment, and future reference.

4.     INDEMNIFICATION

In the event that any dispute, claim, loss, damage, or expense should arise: A) as a result of your use of any information presented by us without a contract or B) concerning any photos, texts, or files that you have provided or supplied to us as part of the services that you have requested, you agree to indemnify us and hold us harmless against any such dispute, claim, loss, damage, or expense of any kind and in advance of any finding, determination, or adjudication on the merits after we have tendered the dispute, claim, loss, damage, or expense to you and this obligation to indemnify us shall exist without regard to whether the dispute, claim, loss, damage, or expense originates with you, someone associated with you, or with any other person or party independent of you.

5.     INCORPORATION OF PUBLISHING SERVICES DESCRIPTIONS

The “Services” page of the SEEpublishing.com website contains a list of publishing related services, detailed descriptions of those services, along with these Terms of Service and Use. That information has been provided and published to assist you in understanding how the various services differentiate from one another and to aid you in completing the Order Intake Form when initiating a service inquiry. Those identified publishing services and related descriptions are incorporated by reference into these Terms of Service and Use.

6.     INCORPORATION OF CONSULTING SERVICES DESCRIPTIONS

The “Services” page of the SEEpublishing.com website contains a list of consulting related services, detailed descriptions of those services, along with these Terms of Service and Use. That information has been provided and published to assist you in understanding how the various services differentiate from one another and to aid you in completing the Order Intake Form when initiating a service inquiry. Those identified consulting services and related descriptions are incorporated by reference into these Terms of Service and Use.

7.     COORDINATED SERVICES AND INFORMATION SHARING

From time to time, it may be necessary to engage the assistance of other persons or companies (“third parties”) to timely or effectively deliver the services requested by you. To meet your desired service needs, you agree that we may engage the assistance of third parties for the effective delivery of your services on an as-needed basis, including third-party card payment processors. In order for us to deliver your requested services to you, or resolve any dispute that may arise, you consent and authorize us to share necessary information you have provided to us with third-parties and for any involved third-parties to share necessary information with us. Our business practices do not include collecting or storing personal financial information that you may provide to our designated third-party card payment processor in conjunction with your payment for any goods or services. In the event of any dispute concerning any payment for goods or services, you consent and agree to the disclosure of your personal financial and other information, and the personal financial and other information of the account cardholder, for any payment processing transactions undertaken by you in obtaining any goods or services from us. Such other information may include IP addresses or other security-related payment processing transaction-related details necessary or useful for the resolution of any dispute.

8.     COMPLETION DEADLINES

We have created estimated timelines for completing publishing service orders. Orders may be completed in less time if earlier submitted open work orders so permits. If a deadline is definitive for a particular project it shall be incumbent upon you to alert us of that “hard” deadline with the usual and customary term of "TIME IS OF THE ESSENCE." This information may be provided in the "additional information" field on the Order Intake Form and permits us to evaluate your job order request with the submitted files, the identified “hard” deadline, and assess the need for any required additional information. If we are unable to accommodate your “hard” deadline, we will notify you of that fact prior to your payment for you to decide if you would like to proceed. In our sole discretion, as a courtesy, we may attempt to accommodate your “hard” deadline service request by offering expedited service for an additional fee.

9.     PRICING

It is our goal to be as transparent as possible in our pricing structure to avoid unnecessary surprises and payment related disputes. To that end, we have attempted to utilize a flat fee payment structure to the extent possible, but such is not possible with the delivery of all related services where time requirements may vary depending on the specifications or requirements that a particular client may have identified. To the extent that we have adopted a flat fee payment structure or an hourly based fee structure, the method of computation for charges will be made available to you in our Payment Processing Form prior to the submission of your payment or any fee retainer for hourly billed services.  Pricing may change at any time and, as set forth in paragraph #21, please consult this page for current pricing matters prior to initiating a service request.

10.     PAYMENTS

For various reasons, including minimizing transaction-related fees, any issues with the quality of any publishing related services that might be resolved with a credit will be applied as a credit towards future services and corresponding payments. Notwithstanding the foregoing, in our sole discretion, we may issue a full or partial refund, but are in no way obligated to do so.

11.     DEPOSIT PAYMENTS

In those instances where a customer is unable to pay for the desired services in advance or the engaged services are to be performed on a billed hourly basis of unknown duration, we may undertake the performance of the engaged services with a deposit payment of an agreed amount. Where any services are engaged on an hourly basis and a deposit payment is made as security for the services to be performed, if the engaged hourly billed services have been charged against the deposit payment and an additional deposit payment is required to continue or complete the engaged services, any additional deposit payment shall be deemed to be acceptance and satisfaction of the engaged hourly billed services performed up through the point in time at which the additional deposit payment is made. In such circumstances, all deposit payments used for accruing and engaged hourly billed services shall be deemed earned and non-refundable. It is hereby agreed that these Deposit Payments terms are material to the contract and, further, that any additional hourly billed services that are to be provided are being conditionally performed based upon agreement and acceptance of these Deposit Payment terms.

12.     DISPUTE RESOLUTION

Regardless of whether a contract for services exists, and regardless of whether any dispute is presented as a claim, loss, damage, or expense, you understand and agree that you will provide us with written notification of any claim or dispute as soon as practically possible after the events or circumstances giving rise to the claim or dispute become known so that we may attempt to informally resolve the issue without the prospect of litigation. This obligation of written notice shall exist once the problem, claim, or dispute is known to exist and without regard to whether damages are yet known or capable of being assessed. TO AFFORD AN OPPORTUNITY TO INFORMALLY RESOLVE ANY DISPUTE, CLAIM, LOSS, DAMAGE, OR EXPENSE WITHOUT LITIGATION, YOU AGREE TO PROVIDE US WITH 30 DAYS TO RESPOND TO YOUR PROBLEM, CLAIM, OR DISPUTE AND, FURTHER, YOU AGREE THAT NO LITIGATION MAY BE COMMENCED IN ADVANCE OF THAT 30-DAY TIME PERIOD FOR INFORMAL DISPUTE RESOLUTION. To the extent that affording a 30-day period for informal dispute resolution implicates an applicable statute of limitations, we hereby agree, in advance and without additional consent, to contractually consent to a tolling of any applicable statute of limitations by the specific number of days that are required to allow for the total 30-day time period for informal dispute resolution, but in no event shall any applicable statute of limitations be tolled by more than 30 days.

13.     CHOICE OF LAW

These provisions shall be construed according to the laws of the jurisdiction for SEE Publishing’s identified mailing address as found on the SEEpublishing.com website; currently the state of California.

14.     FORUM

Any dispute, claim, loss, damage, or expense that is not resolved with the dispute resolution provisions above and are to instead be resolved with litigation, shall be commenced within the county of SEE Publishing’s identified mailing address as found on the SEEpublishing.com website; currently the County of Orange within the state of California.

15.     SERVICE OF PROCESS

SEE Publishing is currently a web-only e-commerce based business of a type that is not required to have a publicly designated Agent for Service of Process. Despite this, a request may be made to effect Service of Process by email with an accompanying court form “Acknowledgement.” Since electronic Service of Process can avoid unnecessary costs, you agree to attempt to secure our consent for electronic Service of Process in the event that the informal dispute resolution process is unsuccessful.

16.     WAIVER OF PUNITIVE AND CONSEQUENTIAL DAMAGES

Regardless of whether a contract for services exists, and regardless of whether any dispute is presented as a claim, loss, damage, or expense, YOU UNDERSTAND AND EXPRESSLY AGREE THAT WE SHALL NOT BE LIABLE FOR ANY PUNITIVE OR CONSEQUENTIAL DAMAGES OF ANY KIND, regardless of whether the claim for punitive or consequential damages arises in tort, contract, or by statute, and this extends to any applicable double or treble statutory damages. You understand that this clause contains provisions that limit damages that may be allowed by statutory and common law and you knowingly and intelligently agree to expressly waive all rights to any kind of punitive and consequential damages, including any possible double and treble statutory awards, to the fullest extent allowed by law. You understand and agree that this waiver constitutes a material term with respect to any services and contracts for services and, further, that any provided services are being conditionally performed based upon your agreement to this waiver. For purposes of this clause, consequential damages shall not include pre-judgement interest, post-judgement interest, or any other ancillary remedy available by way of legal process.

17.     WAIVER OF POTENTIAL CLASS ACTION CLAIMS

Regardless of whether a contract for services exists, and regardless of whether a dispute, claim, loss, damage, or expense is presented as a contract, tort, or as a statutory claim, YOU UNDERSTAND AND EXPRESSLY AGREE THAT, SHOULD ANY DISPUTE ARISE WITH US OR WITH ANY SERVICE PROVIDED TO YOU THAT IS NOT INFORMALLY RESOLVED, YOU SHALL NOT BE ABLE TO ASSERT ANY TYPE OF LITIGATION CLAIM IN THE FORM OF A CLASS ACTION OR IN A REPRESENTATIVE CAPACITY WHILE ACTING ON BEHALF OF ANYONE ELSE. You understand that this clause contains provisions that potentially limits your legal rights and you knowingly and intelligently agree to expressly waive these rights. You understand and agree that this waiver constitutes a material term with respect to any services and contracts for services and, further, that any provided services are being conditionally performed based upon your agreement to this waiver.

18.     MUTUAL ELECTION OF SPECIFIC REMEDIES

Where any dispute, claim, loss, damage, or expense may be presented under a contract or tort theory of liability, ALL PARTIES (you and us) AGREE TO LIMIT THEIR CLAIMS TO CONTRACT-BASED THEORIES OF LIABILITY WITH THE MUTUAL BENEFIT OF SIMPLICITY AND EASE IN THE COMPUTATION OF ANY DAMAGES OR LOSSES. The parties understand that this clause contains provisions that limits rights and remedies that may be allowed by statutory and common law and the parties knowingly and intelligently agree to expressly waive all claims arising in tort and, further, to agree to elect contract-based theories of liability as the sole and exclusive manner of recovery on any claim where a contract exists between them or persons claiming through or by way of them. In any situation where one or more of the parties to a dispute reasonably believed that a contract existed between them, but it should later be determined that a contract did not in fact exist, the parties agree to limit their claims to the usual remedies afforded with the failed formation of a contract; namely quasi-contractual relief, restitution, and equitable awards for any damages.  All parties understand and agree that these Mutual Elections constitute a material term with respect to any services and contracts for services and, further, that any provided services are being conditionally performed based upon the parties' agreement to the terms of this Mutual Election. 

19.     CONSTRUCTION

In interpreting the various provisions comprising these Terms of Service and Use, the provisions shall be interpreted according to their plain language to the fullest extent possible and in no event shall the Terms of Service and Use be construed adversely against the party that drafted them on that sole basis.

20.     INTEGRATION

20A.    Publishing Services
By requesting publishing related services and paying for those services after being provided payment instructions, you are entering into a contract for publishing related services. That contract may be formed through the integration and compilation of the various parts of the transaction exchange. In the event of any dispute, you understand and specifically agree that the integrated contract shall be comprised of, at a minimum, the following:
          1) The information found on the “Services & Terms of Service” webpage of SEEpublishing.com, including the descriptions of publishing services and Terms of Service,
          2) The information contained in our Order Intake / Inquiry Form for SEE Publishing (accessible from the “Services” webpage) and the information you provide and files that you might submit to us through your use of the Order Intake / Inquiry Form,
          3) Any email communications between Us and You or You and Us prior to your submission of payment, and
          4) The information contained in our Payment Processing Form for SEE Publishing and the information you provide and submit to us and our designated third-party card payment processor through your use of the Payment Processing Form for SEE Publishing, such as payment date, payment amount, or other payment processing transaction details. 

20B.     Publishing Services
By requesting consulting related services and paying for those services after being provided payment instructions, you are entering into a contract for consulting related services. That contract may be formed through the integration and compilation of the various parts of the transaction exchange. In the event of any dispute, you understand and specifically agree that the integrated contract shall be comprised of, at a minimum, the following:
          1) The information found on the “Services & Terms of Service” webpage of SEEpublishing.com, including the descriptions of consulting services and Terms of Service,

          3) Any email communications between Us and You or You and Us prior to your submission of payment, and
          4) The information contained in our Payment Processing Form for SEE Consulting and the information you provide and submit to us and our designated third-party card payment processor through your use of the Payment Processing Form for SEE Consulting, such as payment date, payment amount, or other payment processing transaction details. 

21.     SAVING AND SEVERABILITY

If any provision within these Terms of Service and Use is assessed by any lawful tribunal as being potentially unenforceable, it is the intention of the parties that the tribunal shall attempt to save and reform the provision to make it enforceable by any reasonable means possible, including reformation or rewording of the contractual clause or provision at issue, if the intended purpose or result of the provision can be ascertained. Except as required by law, only if a provision within these Terms of Service and Use is assessed as potentially unenforceable and further determined to be incapable of saving through reformation or rewording, only then will that provision be deemed unenforceable. In such event, all remaining provisions of these Terms of Service and Use shall remain in full force and effect.

22.     MODIFICATIONS

We shall have, and do reserve, the right to modify these Terms of Service and Use as necessary and as may be needed from time to time. The last existing and updated Terms of Service and Use shall be applicable to all services provided and contracts created subsequent to the update that is published on our website. You understand and expressly agree to access and review the Terms of Service and Use frequently to ascertain the existence of any changes or revisions. To readily facilitate the identification of revisions with ease, we shall include a “last modified” date in conjunction with any substantive changes made to the then operative and published Terms of Service and Use.

1.     Publishing Work Order Processing Times

We will use best efforts to complete projects within the following timelines once all required files are received and payment is made (please refer to paragraph #7 concerning deadlines). While we may be able to accommodate your request for an earlier due date without any expedited processing fees, we have established the following guidelines for the completion of new incoming orders:
          A) Photo alterations: One week,
          B) Graphic design consult: One week,
          C) Graphic design services (art for book covers): One month,
          D) Graphic design services (other): Per agreed date,
          E) Infographics: One week,
          F) Editing: One week (total word counts under 5000),
          G) Technical Writing: Per agreed date,
          H) Document Formatting: One week, and
          I) Presentation & Layouts: Per agreed date.

Business Development Concepts (BDC) Supplement

Most BDCs on our website are intended to be developed as customer or industry specific integrations or as independent operating business enterprises. Where funding may be committed to a BDC that is to be an independent operating business enterprise, you understand and agree that (regardless of the entity structure that is ultimately selected) any and all pre-formation activities, risks, and liabilities that may exist shall be assumed by the newly formed entity and we shall have no further liability, risk, or obligation concerning any activities as a promoter, regardless of the theories under which such a claims may arise.
